Mail Proof and Sign Off


Design/File Approval Form and
Limitation of Liability 

This mail proof Approval form is being submitted to you (the “Client”) for purposes of enabling Influence Direct, Inc. (“Influence Direct”) to provide services to you on a direct mail Project.  Your signature on this Approval form indicates your agreement to the terms and conditions stated herein and acknowledgement that the Project services to be provided by Influence Direct are also subject to the terms and conditions stated in the Contract for Services between you and Influence Direct.

All pages transmitted with this Approval form will be referred to as “proofs". Influence Direct requires completion of this form and approval of all proofs prior to printing any material. Influence Direct assumes no responsibility for files and/or artwork received from Client. Artwork received is presumed to be free of errors color corrected. Files received will run in an “as is supplied format”.

Influence Direct assumes no responsibility for files and/or artwork designed by our employees after the finished design “artwork” is approved by Client. Once a proof, whether low resolution (desktop printer) or high resolution (digital printer), has been approved by Client or its representative, the Client assumes responsibility for errors.

Client represents and warrants that: (a) it has the right to use (and to authorize Influence Direct to use) all mailing lists, direct mail artwork, and other text/graphic content provided by Client to Influence Direct; (b) that the use, publication or distribution of content provided to Influence Direct by Client will not infringe any copyright, privacy right, or other right owned by any third-party; and (c) that the publication or distribution of the direct mail piece and content approved by Client to any one or more mail recipients will not violate any applicable local, state, or federal law or regulation..

While Influence Direct uses the most advanced printing, layout, and design programs available, human error may still occur in the design process. Please check all aspects of your artwork; including, but not limited to, text, color, crop marks and overall appearance. Client shall be solely responsible for errors including, but not limited to, text, color, crop marks and overall appearance, contained in content supplied by Client and in content proofs approved by Client.

Your signature below: (a) affirms Client’s agreement to all of the terms and conditions listed above; and (b) releases Influence Direct from any liability associated with Client’s artwork pertaining to layout, color (unless color accurate match print has been purchased), typographical errors, and cut/cropping.

As you review the proofs, please carefully examine your document for:

  • Color

  • Correct Spelling / Punctuation

  • Fonts

  • Formatting/Visual Clarity

  • Graphics

  • Margins

PLEASE NOTE: Your Proofs and Invoice were sent to you via email and/or fax. Proofs are copies of how your project will be printed and mailed. There may be minor size, quality, or clarity variations of rulers, screens, or special effects due to the fax transmission or PDF email.

Influence Direct makes no representations or warranties as to the quantity, quality or type of responses received from any direct mail campaign and assumes no liability to Client for the results or success of any Project.  Influence Direct makes no representations or guarantees as to (i) any specific drop dates for a Client’s mail campaign, (ii) when or if any inbound calls commence as the result of a mail campaign, or (iii) the mail delivery periods provided by the U.S. Postal Service.  Influence Direct assumes no responsibility for content, files and/or artwork designed by Client or by Influence Direct, after the finished design and/or other content is approved by Client.  Client shall be solely responsible for errors including, but not limited to, text, color, crop marks and overall appearance, contained in content supplied by Client and in content proofs approved by Client.  In no event shall Influence Direct be liable for any loss of profits, sales, business, data or other indirect, incidental, consequential, special, punitive or similar damages irrespective of whether Influence Direct has been informed of, knew of, or should have known of the likelihood of such damages.  Under no circumstances shall any liability by Influence Direct to Client exceed the amounts paid to Influence Direct by Client.

Client shall indemnify and hold Influence Direct, and its representatives, agents and employees, harmless for any suits, actions, claims, losses, liabilities, costs and damages, including reasonable attorneys’ fees, that Influence Direct may incur as the result of any breach by Client of any obligation, representation, warranty or other term of this Agreement, including, without limitation, actions brought against Influence Direct by any regulatory agency or by any recipient of any mailing approved by Client.

I have reviewed the sample output of the job and am satisfied with its appearance and quality. On behalf of Client, I authorize Influence Direct, Inc. to print and mail the entire order.
